As the Board Secretary for BAS, you will support the governance functions of the organisation. This voluntary position entails working with the other Board members to ensure effective management of the organisation, contributing to day-to-day and strategic level decision-making. The Board Secretary facilitates the smooth operation of meetings by creating a clear account of discussion points and actions to promote transparency within the charity.
The specific responsibilities are set out below:
Governance Support
• Assist the Board in managing staff and contractors to fulfil the organisations obligations to deliver support for low-income people and Work and Income clients.
• Serve as a point of contact for board members and BAS staff and contractors regarding governance matters and inquiries.
• Collaborate with the Chairperson and other board members to ensure adherence to the charity's kaupapa and policies.
Documentation and Minutes
• Attend board meetings and accurately record minutes, capturing key discussion points, decisions, and action items.
• Ensure confidentiality and security of sensitive board-related information.
• Distribute minutes to board and staff in appropriate formats and in a timely manner (usually within 5 working days) of board meetings.
• Assist in the dissemination of board resolutions and decisions to relevant stakeholders as needed.
Decision-Making Assistance
• Assist in decision-making regarding employment matters and staffing.
• Apply level-headed and critical thinking to all decisions regarding the functioning of the organisation.
• Attend strategy meetings and actively participate in the direction of the organisation.
The ideal applicant will have proficient written and verbal communication skills, a professional and respectful attitude towards our client-base, excellent organisational and time management skills, strong attention to detail and accuracy, particularly in minute-taking and document management.
Familiarity with governance processes and procedures is preferred, but not essential if you have other relevant experiences.

The role involves attending up to 12 board meetings a year (these typically take 2-3 hours). Outside of the meetings there will be preparation and distribution of minutes to board and staff (approximately an hour for each meeting). There may also be occasional attendance at professional development sessions.
